1. Additional Work & Hourly Rate
- Work outside the agreed scope of this plan will be billed at 1250 SEK/hour, with a minimum spend of 2 hours per request. This includes, but is not limited to:
- Strategy sessions or meetings not part of regular planning
- Urgent or expedited support outside normal availability
- Client-requested admin, project coordination, or documentation
- Custom development, integrations, or feature work not included in the base plan
Multiple small updates or requests may be batched together to meet the minimum. All additional work must be approved in writing before execution.
2. Communication & Availability
- Support is provided via email during business hours with 24 hours response time window
- We respond to issues related to uptime, CMS usage, general hosting performance and bugs
- Priority or urgent response is not included in this plan
3. Payment Terms
- Billed quarterly in advance
- Payment due within 30 days of invoice
- Late payment incurs a 5% fee after 14 days
4. Termination & Cancellation
- The agreement is always billed quarterly in advance
- Termination must be made at least 30 days before a new billing period begins
- No refunds are given once a billing period has started
5. Overhead & Third-Party Costs
This agreement covers your service plan and support, but excludes any additional costs related to third-party services or infrastructure.
- Our overhead or additional work (such as project management, coordination, or client-requested admin time) must be agreed upon in writing and will be billed separately after approval.
- Third-party platform costs (such as CMS/editor licenses, CDN/bandwidth overages, API usage are billed separately at cost, based on actual usage. No markup is added to third-party services.
6. Intellectual Property & Confidentiality
- Client owns IP of all deliverables created specifically for them
- Provider retains rights to tools, processes, and templates used in service delivery
- Both parties agree to maintain confidentiality
7. Limitation of Liability
The Provider will deliver services with due care and professionalism. However, the Client acknowledges and agrees that:
- The Provider shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, business interruption, or reputational harm, arising from the use or inability to use the services, even if advised of the possibility of such damages.
- The Provider is not liable for disruptions, delays, or failures caused by third-party platforms, tools, or services, including but not limited to Vercel, Sanity, GitHub, Amazon, Cloudflare, or other infrastructure providers.
- The Provider does not guarantee 100% uptime or uninterrupted service but will make reasonable efforts to prevent and resolve issues promptly.
- In no event shall the Provider’s liability exceed the total amount paid by the Client for services rendered in the preceding three (3) months of the claim.
- The Client is responsible for maintaining backups of their own content and data unless explicitly agreed otherwise in writing.
8. Handover & Termination Deliverables
In the event of termination, the client may request a handover of source code, documentation, or other relevant materials. This handover is not included in the base agreement and will be billed as a separate service.
A minimum charge of 4 hours (at 1,250 SEK/hour) applies to any termination-related work, including but not limited to:
- Preparing code exports/migrations
- Transferring DNS, or CMS ownership
- Writing technical documentation or onboarding a new provider
- Reviewing or packaging assets for migration
If the total handover effort exceeds 4 hours, additional time will be billed at the same hourly rate.
The provider will complete the handover within 10 business days of receiving the written request, provided all outstanding invoices have been settled.
If the client designates a third party to receive the handover, appropriate access and contact details must be shared in advance. The provider may require a technical contact and will not be responsible for configuration or onboarding on the recipient’s side unless otherwise agreed in writing.
